Citizens Bank Everyday Points® Rewards Program Terms and Conditions

This Agreement, together with your Cardholder Agreement and any amendments thereto ("Agreement"), governs the Citizens Bank Everyday Points® Rewards Program (the "Program"). By using the Everyday Points® Business Credit Card ("Card"), you agree to the terms and conditions governing the Program as set forth herein. In this Agreement, "you" and "your" mean the person(s) who applied for a Card with us, either individually or collectively. "We," "our," "us," and "Citizens Bank" mean Citizens Bank, N.A., its subsidiaries and affiliates. If there is a conflict between any provisions of this Agreement and any provisions of any other agreement you may have with us, the provisions of this Agreement shall control as to those provisions.

Earning Rewards Points

How To Earn Rewards Points:
You will earn two (2) Everyday Points® Rewards Points ("Rewards Points") for every $1 you spend on Eligible Purchases using your enrolled Card.

  • You will accrue points for Eligible Purchases, but not for non-purchase transactions such as Cash Advances, Cash Equivalent Transactions or unauthorized charges.
  • A Purchase includes the total amount of each sale including sales tax and gratuities.
  • Purchases resulting in fractions will be not show on the Redemption website as only whole Points are displayed, but the system track and accumulates all fractional points.

What Is An Eligible Purchase:
"Eligible Purchases" means the total purchases posted on your enrolled Card Account at a retail establishment using a Card for any lawful purchase to buy or lease goods or services, less any returns, refunds, credits, or adjustments that are not payments.

The following are NOT Eligible Purchases and therefore points are not awarded on them: finance charges, other account charges or fees, balance transfers, cash advances, cash advances designated as purchases, Automated Teller Machine (ATM) and bank teller withdrawals, wire transfers, the purchase of money orders, cashier's checks, traveler's checks, gift cards, or other negotiable instruments, foreign currency, wager or lottery tickets, casino gaming chips, payments of loans, or similar cash equivalent (quasi-cash) transactions, life insurance and payment protection plan charges, and unauthorized transactions.

In our sole discretion, we may deduct Rewards Points from your Card Account in order to make adjustments for returns and cancellations with respect to Eligible Purchases.

Election of Business-Earn versus Cardholder-Earn Options - During the enrollment process
The Business must elect either the Business-Earn Rewards option or the Cardholder-Earn Rewards option:

  • Business-Earn Rewards Option: Under the Business-Earn Rewards option, all Cards issued to the same billing account will accrue Rewards Points to a single, business Rewards Account, and individual Cardholders will not accumulate or be permitted to redeem Rewards Points. Only an Authorized Signer or Account Owner may redeem Rewards Points on a Business-Earn Rewards Account.
  • Cardholder-Earn Rewards Option: Under the Cardholder-Earn Rewards option, each Card will accrue Rewards Points towards a separate Rewards Account established for the individual Cardholder. Under the Cardholder-Earn Rewards option the individual Cardholder may redeem Rewards Points accrued and posted to their Rewards Account, if the Business has selected Individual Billing for the monthly invoicing, the CardholderEarn Rewards option must be elected.

Redeeming Rewards Points

How You Can Redeem Rewards Points For Rewards
You must be actively enrolled in the Program and your Account must be in good standing. Rewards Points must be posted to and reflected on a current account statement in order to be redeemed. You agree that any authorized signer on your enrolled account and any owner of a linked account can redeem accumulated points. When you redeem Everyday Points for airline tickets, merchandise or services, you will be directed to a third party website for booking and fulfillment. This third party website is governed by, among other things, the Travel Terms and Conditions, and Website Terms of Use. Citizens Bank accepts no responsibility for the accuracy of the information provided in these third party materials. You may have to pay a third party a fulfillment fee for arranging for you to receive your airline tickets, merchandise or services. When you redeem by telephone or online, you will be advised whether you must pay a fulfillment fee and, if so, the amount of the fee.

To redeem your Rewards Points, logon to citizensbankeverydaypoints.com or call 1-888-333-7834, 9 a.m. to 9 p.m. (Eastern Standard Time) Monday - Friday and 10 a.m. to 7 p.m. (Eastern Standard Time) Saturday & Sunday. All rewards are subject to availability. We may change rewards and point levels at our sole discretion. Rewards Points must be redeemed within thirty–six (36) months after the month in which the Rewards Points were awarded to your Account. If not redeemed, they will be canceled and removed from your Account. We reserve the right to correct misstated Rewards Points represented on statements or the website at our sole discretion.

Merchandise and Gift Certificate/Card Rewards
You may use Rewards Points to obtain merchandise that we make available in the Program (the "Merchandise Rewards") and gift certificates/cards at participating retailers (the "Gift Certificate/Card Rewards"). We may change the merchandise selection or gift certificates/cards from time to time without prior notice to you. To learn about our current Merchandise and Gift Certificate/Card Rewards go to www.citizensbankeverydaypoints.com or call 1-888-333-7834. If particular Merchandise is no longer available or is out of stock, we may offer a substitute product of equal or greater value. You must return damaged or defective merchandise to the Merchant or manufacturer according to the Merchant's instructions. There are no returns, exchanges, or refunds for any Merchandise Rewards directly from Citizens Bank.

The manufacturer's warranty, if any, is the only warranty covering Merchandise Rewards. We make no guarantees, warranties or representations of any kind, expressed or implied, with respect to the Merchandise Rewards or the goods or services offered by any participating Merchant of a Gift Certificate/Card Reward.

Gift Certificate/Card Rewards will not be personalized and are transferable to any person. They are not exchangeable, refundable, re-loadable, or redeemable for cash; and cannot be replaced if lost or stolen. Mechanical reproductions, copies, or facsimiles will not be accepted. Additional terms and conditions appearing on the gift certificate/card or otherwise imposed by the Merchant or retailer may also apply.

Important Program Limitations and Conditions

Only accounts and cards in good standing are eligible for participation in the Program. We determine whether your account is in good standing based on several factors, including but not limited to, overdraft history, payment history with us, and adherence to your Cardholder Agreement and the Terms and Conditions of the Program.
If you or we close your Citizens Bank account or terminate your participation in the Program, all Rewards Points will be immediately and irrevocably forfeited, even if your Citizens Bank account is later reopened or you re-enroll in the Program.

We reserve the right to disqualify any cardholder from participating in the Program and to invalidate all Rewards Points for abuse, fraud or any violation of the Program terms and conditions, at our sole discretion.

Rewards Point Value and Ownership
Rewards Points are not your property and have no cash or other value unless they are redeemed for rewards. Rewards Points are not transferable and cannot be bought, sold, or used as payment on your account. Unless specifically authorized by us, Rewards Points may not be combined with other discounts, special rates, promotions or other reward programs offered by us. Your exclusive remedy for earned but uncredited Rewards Points shall be the issuance of the uncredited Rewards Points, if available, or such other comparable benefit as determined by us. If, however, your Card account is closed, then such Rewards Points or other comparable benefit shall be forfeited.

Rewards Suppliers
Suppliers of Rewards are independent contractors and are not our agents. We do not offer, endorse or guarantee any of the goods or services provided as part of the Rewards. We do not warrant the quality, merchantability, or fitness for a particular purpose of any merchandise or service you purchase with your Rewards Points. You must address any concern or complaint directly with the Merchant and agree that we are not responsible in any way for such purchases. You hereby agree to release, discharge, and hold harmless Citizens Bank, third party reward providers, and their respective subsidiaries, affiliates, employees, officers, directors, successors and assigns from all claims, damages or liability including but not limited to physical injury or death, arising out of participation in the Program. Further, you release us from any and all liability for any loss, expense, accident, injury or inconvenience that may arise in connection with the use or defect of any Reward or your participation in the Program.

Tax Liability
Rewards Points may constitute taxable income. You may be issued an Internal Revenue Service Form 1099 (or other appropriate form) that reflects the value of the Rewards Points.
The cardholder is responsible for any personal tax liability related to participation in the Program or as a result of Rewards Points earned and/or redeemed. We do not offer tax advice. Please contact a tax advisor for individual circumstances.

Internet and Telephone Communications
We may rely on your oral and electronic instructions. In addition, you consent to the monitoring and recording of your telephone conversations with us for training or compliance purposes or to provide a record of your instructions. You agree that we will not be liable for honoring oral instructions received from any person claiming to be you, provided normal verification procedures have been followed. We may follow any instructions received by electronic means through the Everyday Points® Rewards website just as if you had given such instructions in person, regardless of whether or not you have personally initiated such instructions. You consent to the receipt of all reports, transaction confirmations, account statements, correspondence and other information from us electronically through either (i) access to your enrolled account on the Everyday Points® Rewards website or (ii) the email address provided by you to us. We will not be responsible for your inability to connect to the Internet or to access the website or otherwise not to receive electronic communications. Electronic communications are presumed to be delivered to and received by you when sent by us, whether actually received or not. You acknowledge that you have access to hardware and software meeting the system requirements set forth on the Citizens Bank Everyday Points® Rewards website necessary to receive from us correspondence and records in electronic form.

Changes to or Cancellation of the Program
We may, at any time, add to, amend or change any of the terms, conditions or restrictions of the Program. The Program may be changed or discontinued but points awarded before the program is changed or discontinued will be honored for a limited period of time for merchandise and services offered in the Everyday Points® Rewards Catalog at the levels of points before the program was changed or discontinued, as applicable. We reserve the right to forfeit and cancel any Rewards Points which are not redeemed within 90 days after notice of cancellation of the program is given.

Limitation of Liability
You agree to release Citizens Bank and any of its affiliates from all liability, including:

  • Any loss, claim, expense or damages you experience in connection with the Program.
  • Any claims, expenses and legal fees arising from or related to any violation of the Program by you or anyone using your Card account.
  • Any typographical errors or omissions in any Program-related document.
  • Delayed or lost correspondence sent by U.S. mail or any other form of delivery, including email.
  • Any error, omission, interruption, deletion, defect, delay in operation or transmission, theft, destruction or unauthorized access to, or alteration of Rewards Points accrued and redeemed or other Program activities.

We may assign our rights and obligations under this agreement to a third party, who will then be entitled to any of our rights that we assign to them.

Governing Law
This Agreement and the Program will be governed by and construed as set forth in your Cardholder Agreement. The Citizens Bank Everyday Points® Rewards Program is void where prohibited by federal, state, or local law.

Dispute Resolution
All Rewards Points are subject to verification and confirmation by us. All decisions regarding rewards disputes shall be final. Discrepancies about Rewards Points are not treated as credit card billing error disputes.
